1. Agreement to Terms

These Terms & Conditions (the "Terms") constitute a legally binding agreement between you ("User", "you", or "your") and LocalSubtitle ("we", "us", or "our") governing your access to and use of the LocalSubtitle application for macOS (the "App") and our official website (the "Website").

By downloading, installing, purchasing, or using LocalSubtitle, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, do not install or use the App.

2. Apple Mac App Store Terms & EULA Relationship

These Terms supplement and incorporate the standard Apple Media Services Terms and Apple End User License Agreement (EULA). You acknowledge that:

• These Terms are concluded solely between you and LocalSubtitle, and not with Apple Inc. ("Apple").
• LocalSubtitle, and not Apple, is solely responsible for the App and the content thereof.
• Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price in accordance with its refund policies. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and shall have the right to enforce these Terms against you.

3. Grant of License

Subject to your compliance with these Terms, LocalSubtitle grants you a personal, revocable, non-exclusive, non-transferable, non-sublicensable limited license to install and use LocalSubtitle on any Apple-branded Mac computer running macOS 15.0 or later that you own or control, in accordance with the Usage Rules set forth in the Apple Media Services Terms.

4. Permitted and Prohibited Uses

LocalSubtitle is designed as an assistive speech-to-text, real-time captioning, and language translation tool for personal, educational, accessibility, and productivity purposes.

You agree NOT to:

• Reverse engineer, decompile, disassemble, or attempt to derive the proprietary source code of the App (except where such restriction is prohibited by applicable law).
• Rent, lease, lend, sell, redistribute, or sublicense the App to any third party.
• Circumvent or disable any technological copyright protections, sandbox boundaries, or entitlements established by macOS.
• Use the App for any unlawful, infringing, or defamatory purpose.

5. Compliance with Third-Party Content & Streaming Services

LocalSubtitle operates strictly as an on-device audio listener and visual floating display:

• No Content Piracy or Extraction: The App does not download, rip, decrypt, duplicate, capture screen pixels, store, or redistribute any third-party streaming media from video platforms (including Netflix, Crunchyroll, Disney+, Prime Video, Apple TV, or YouTube).
• User Responsibility: You are solely responsible for ensuring that your personal use of subtitles adheres to the terms of service of any third-party streaming platform, broadcaster, or meeting software you access.

6. AI Speech & Translation Accuracy Disclaimer

LocalSubtitle employs artificial intelligence models that process speech and language translations locally on your Mac's hardware:

• No Guarantee of Flawless Accuracy: Speech recognition and machine translation accuracy vary depending on speaker enunciation, background music, audio quality, accents, and dialect. We do not warrant that all transcriptions or translations will be 100% accurate, error-free, or contextually complete.
• Not for Critical or Emergency Use: The App is intended for casual media consumption, language learning, and general accessibility. It must not be relied upon for critical, life-safety, medical, official legal court proceedings, or emergency situations where inaccurate transcription could cause harm or liability.

7. Intellectual Property

All title, ownership rights, logos, designs, custom graphics, algorithms, and intellectual property rights in and to the App and Website remain the exclusive property of LocalSubtitle and its licensors.

Apple, Mac, macOS, Apple Silicon, and Mac App Store are trademarks of Apple Inc., registered in the U.S. and other countries. LocalSubtitle is an independent product developed for the macOS platform and is not sponsored, endorsed, or affiliated with Apple Inc.

8. One-Time Purchase & Upgrades

LocalSubtitle is offered as a single one-time purchase on the Apple Mac App Store without recurring subscription fees. Future minor updates and bug fixes will be provided at no extra cost through the Mac App Store in accordance with standard store policies.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP AND WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. LOCALSUBTITLE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW, IN NO EVENT SHALL LOCALSUBTITLE BE LIABLE FOR PERSONAL INJURY, OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE APP, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE).

In no event shall our total aggregate liability to you for all damages exceed the amount actually paid by you for the App on the Mac App Store.

11. Privacy

Your privacy is paramount. Please review our Privacy Policy, which explains how LocalSubtitle operates 100% offline with zero audio collection, zero telemetry, and complete on-device privacy.

12. Termination

These Terms remain in effect until terminated. Your rights under these Terms will terminate automatically without notice if you fail to comply with any provision of these Terms. Upon termination, you must cease all use of the App and delete all copies from your devices.

13. Governing Law and Jurisdiction

These Terms and your access to or use of the App and Website shall be governed by and construed in accordance with the laws of the State of California and applicable federal laws of the United States, without regard to its conflict of law principles. If you reside in a jurisdiction whose consumer protection laws provide mandatory statutory rights that cannot be waived by agreement (such as the European Union or United Kingdom), nothing in these Terms limits those non-waivable statutory consumer protections under your local jurisdiction.
